Welcome to WNR Digital Pte. Ltd. By using our services, you agree to these Terms of Service. Please read them carefully.
1. Agreement to These Terms
By engaging WNR Digital Pte. Ltd. (“WNR Digital”, “we”, “us”, or “our”), you agree to these Terms of Service.
These Terms, together with any applicable service agreement, proposal, Refund Policy, form the agreement between you and WNR Digital.
If you do not agree to these Terms, please do not use our services.
2. Our Services
WNR Digital provides digital services, which may include:
Website design and development
Digital marketing, including SEO, SEM, and social media services
Website maintenance and technical support
Compliance management
Performance analytics and reporting
The exact services, scope, timeline, and fees will be set out in the relevant proposal or service agreement.
3. Your Responsibilities
You agree to:
Provide accurate and complete information
Give us the necessary access, materials, and approvals needed to provide our services
Ensure that your use of our services complies with applicable laws
Not use our services for illegal or unauthorised purposes
Keep your account and login details secure
Communicate with us in a professional and respectful manner
You are responsible for the content and information you provide to us.
4. Intellectual Property
Our Materials
All tools, templates, frameworks, systems, and other materials created or owned by WNR Digital remain our property unless otherwise agreed in writing.
Your Content and Completed Work
You retain ownership of the original content you provide to us. Ownership of custom work created specifically for you will transfer to you upon full payment, unless otherwise stated in the relevant agreement.
Portfolio Use
Unless otherwise agreed, we may display completed work in our portfolio, website, marketing materials, or case studies.
Third-Party Materials
Some services may use third-party software, plugins, libraries, or services. These are subject to their own terms and licences, and we are not responsible for changes or issues caused by those third parties.
5. Payments
All prices are in Singapore Dollars (SGD) unless stated otherwise.
Payment may be made by bank transfer, or another agreed payment method.
6. Service Availability
We aim to provide reliable services, but we cannot guarantee that all services will be available at all times.
Services may be temporarily unavailable due to maintenance, technical issues, emergency repairs, or events beyond our reasonable control.
7. Limitation of Liability
Our services are provided on an “as-is” and “as-available” basis, to the extent permitted by law.
WNR Digital will not be liable for indirect, incidental, special, consequential, or loss-of-profit damages arising from the use of our services.
To the maximum extent permitted by law, our total liability will not exceed the amount you paid to us for the relevant services during the previous 12 months.
8. Indemnity
You agree to protect and indemnify WNR Digital against claims, losses, damages, or expenses arising from:
Your breach of these Terms
Content or materials provided by you
Your unlawful use of our services
Your unauthorised use of our systems or services
9. Confidentiality
Both parties agree to keep confidential information private and secure.
This may include business strategies, technical information, project details, specifications, analytics, performance data, and other non-public information.
This obligation continues even after our services end.
10. Termination
Either party may terminate a service agreement according to its agreed terms.
We may suspend or terminate services if:
Payment is more than 30 days overdue
You seriously breach these Terms
We reasonably suspect fraud or illegal activity
You infringe our intellectual property rights
Upon termination, all outstanding fees remain payable. Services will stop, and completed work will be provided according to the applicable agreement and payment status.
11. Changes to These Terms
We may update these Terms from time to time.
Any updated Terms will take effect when published or otherwise communicated to you. By continuing to use our services, you agree to the updated Terms.
12. Dispute Resolution
If a dispute arises, both parties agree to first try to resolve it through good-faith discussions.
If the dispute cannot be resolved, it may be referred to arbitration in accordance with applicable Singapore law.
13. Governing Law
These Terms are governed by the laws of Singapore.
